近幾年國內外皆發生了許多因為藉由盈餘操弄來影響股價或是美化財報數字,而導致公司出現財務危機,甚至宣布倒閉破產的相關事,最引人注目的力霸集團、康友-KY等財務舞弊事件都顯示公司管理階層為了達到其私人目地而有操弄盈餘的行為,以及董事會並未發揮其監督的功能。過去研究指出董事會殭屍化主因主要來自於董事會沒有替換新董事會成員將造成董事會高階管理人員停滯不進,並造成公司組織績效不佳。本研究主要研究董事會任期對盈餘管理之影響,透過台灣資本市場2000-2018年共19個年度共17187筆公司-年觀察值,實證結果發現任期過短或過長都會導致監督效力不佳,使公司管理當局有較強之盈餘管理行為,因此董事會任期與盈餘

管理呈現非線性關係。

國內對董事會結構與公司績效研究,主要關注是董事會規模和獨立董事對公司績效帶來之影響,較少關注董事會任期對組織績效的影響,尤其對於董事之任期,並未有相關限制規範,而導致萬年董事之現象,因此本文探討兩者關係的影響,試圖彌補以往研究的不足。本研究主要檢視董事會任期對組織績效的影響,透過台灣資本市場2000年到2018年共17187筆公司年觀察值,實證結果發現組織績效會先隨著董事會任期增加而增加,但當董事會任期達到一定年限後,組織績效反而會隨之反轉。此結果不論是採用資產報酬率或是調整後資產報酬率進行分析皆發現一致性之結論,因此本研究認為董事會任期與組織績效呈現非線性關係。
